Terms of Service

These Terms govern your use of the Domera platform and related services provided by Domera Ltd.

1. Provider and Acceptance

These Terms are between you (or the legal entity you represent) and Domera Ltd ("Domera", "we", "us", "our"). By creating an account, using the Service, or accepting an order, you agree to be bound by these Terms.

2. Service Scope

Domera is a multi-tenant SaaS platform for common-building expense and payment operations. Features may evolve over time and may vary by subscription plan.

3. Account Registration and Security

  • You must provide accurate account information and keep it up to date.
  • You are responsible for credentials, access rights, and all use under your account.
  • You must promptly notify Domera of unauthorized access or security incidents.

4. Subscription, Trial, and Refunds

  • Domera may offer a free trial period. Paid subscription terms begin when the trial ends or when you select a paid plan.
  • Fees are billed in advance according to your selected billing cycle.
  • Unless required by applicable law, payments are non-refundable and no refunds are provided after the trial period.
  • You are responsible for applicable taxes (including VAT where required).

5. Customer Data and GDPR Roles

For customer data uploaded to the platform, your organization acts as the data controller and Domera acts as processor. For account, billing, service administration, and security data, Domera acts as controller as described in the Privacy Policy.

A separate Data Processing Agreement (DPA) may be provided on request where required.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of law, including data protection, sanctions, or anti-fraud laws.
  • Upload malicious code, attempt unauthorized access, or interfere with platform security or availability.
  • Reverse engineer, copy, resell, or misuse the Service beyond rights expressly granted by these Terms.

7. Intellectual Property

  • Domera and its licensors retain all rights in the Service, software, documentation, and branding.
  • You retain rights to your customer data and grant Domera a limited license to process that data solely to provide the Service.

8. Confidentiality

Each party must protect the other party's non-public business, technical, and commercial information with reasonable care and use it only for purposes of these Terms.

9. Suspension and Termination

  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless stated otherwise.
  • Domera may suspend or terminate access for material breach, non-payment, security risks, or unlawful use.

10. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Domera disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.

Domera's aggregate liability arising out of or related to the Service will not exceed the total fees paid by you to Domera in the 12 months before the event giving rise to liability.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Domera against third-party claims arising from your unlawful use of the Service, your breach of these Terms, or your violation of third-party rights.

13. Governing Law and Venue

These Terms are governed by the laws of the Republic of Cyprus. Courts located in Nicosia, Cyprus have exclusive jurisdiction, unless mandatory law provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.

15. Additional Legal Notice

These Terms and the Privacy Policy are practical templates for Domera's current operations. They should be reviewed by qualified Cyprus/EU legal counsel to confirm suitability for your specific risk profile, customer contracts, and regulatory obligations.
